AQM TERMS OF SERVICE

1. AGREEMENT TO TERMS
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “user”) and AQM (“we,” “us,” or “our”) governing your access to and use of the AQM platform, including our website, mobile application, monitoring devices, and related services (collectively, the “Service”).
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service.
2. DESCRIPTION OF SERVICE
AQM is a platform that monitors real-time air quality and mechanical system performance in buildings. The Service reports monitored indoor air quality (IAQ) and energy consumption data and provides solutions to empower occupants and property owners to adjust, maintain, and repair mechanical systems to benefit occupant health and comfort, resulting in reduced energy costs and improved building durability.
3. ELIGIBILITY
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the right, authority, and capacity to enter into these Terms.
4. ACCOUNT REGISTRATION
To use certain features of the Service, you may need to create an account. When you create an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
5. SUBSCRIPTION AND PAYMENT
5.1 Subscription Options
We offer various subscription tiers for our Service, as described on our website or in our marketing materials. By subscribing to our Service, you agree to pay the applicable subscription fees.
5.2 Payment Terms

6. EQUIPMENT
6.1 Monitoring Equipment
Your subscription may include the lease or purchase of monitoring equipment. You are responsible for maintaining this equipment in good working condition and for using it in accordance with our instructions.
6.2 Equipment Installation
You are responsible for the proper installation of any monitoring equipment according to our guidelines. If you choose to have the equipment professionally installed, you are responsible for any installation fees.
6.3 Return of Leased Equipment
If you lease equipment from us, you must return it in good working condition (normal wear and tear excepted) within 30 days of terminating your subscription, or you may be charged the full retail value of the equipment.
7. USER RESPONSIBILITIES
7.1 Compliance with Instructions
You acknowledge that failure to follow recommended system adjustments may result in suboptimal system performance and potentially compromised air quality. As there are many factors that impact IAQ, AQM is not to be held responsible for unforeseen changes in indoor IAQ levels or negative impact that air quality has on the home or it’s occupants.
7.2 Professional Installation and Maintenance
For any mechanical system adjustments beyond simple user controls, we recommend hiring qualified professionals. You acknowledge that we are not responsible for damages or injuries resulting from improper adjustments or installations.
7.3 Emergency Responses
The Service may alert you to potentially hazardous conditions. You are responsible for taking appropriate action in response to these alerts, which may include evacuating the premises, contacting emergency services, or consulting with qualified professionals. AQM is not responsible for any action or non-action taken by you, or other occupants of the home being monitored, that may result in injury, poor health issues, or death.
8. INTELLECTUAL PROPERTY RIGHTS
8.1 Our Proprietary Rights
All aspects of the Service, including but not limited to the software, algorithms, design, text, graphics, logos, and interactive features, are owned by us or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary rights notices incorporated in or accompanying the Service.
8.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes.
8.3 Restrictions
You agree not to:
- Copy, modify, or create derivative works based on the Service
- Reverse engineer, decompile, or attempt to discover the source code of the Service
- Sell, license, rent, lease, or otherwise commercialize the Service
- Use the Service for competitive analysis or to develop a competing product or service

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE INFORMATION PROVIDED THROUGH THE SERVICE IS ACCURATE, RELIABLE, OR COMPLETE, OR THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.
ANY RELIANCE YOU PLACE ON THE SERVICE OR ITS CONTENT IS STRICTLY AT YOUR OWN RISK.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AQM, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
(A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; (E) ANY PROPERTY DAMAGE, PERSONAL INJURY, OR DEATH ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE OR IMPLEMENTATION OF ANY RECOMMENDATIONS PROVIDED THROUGH THE SERVICE; OR (F) ANY OTHER MATTER RELATING TO THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless AQM, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from or relating to:
(a) Your use of or reliance on the Service; (b) Your violation of these Terms; (c) Your violation of any third-party rights, including without limitation any intellectual property rights or privacy rights; (d) Your implementation of any recommendations provided through the Service; (e) Any property damage, personal injury, or death arising from or relating to your use of the Service; or (f) Any actions taken by third parties based on your access to or use of the Service.
13. THIRD-PARTY SERVICES AND CONTENT
The Service may contain links to third-party websites, services, or content that are not owned or controlled by AQM. We do not endorse or assume any responsibility for any such third-party sites, services, or content. If you access any third-party website, service, or content from the Service, you do so at your own risk and you agree that we will have no liability arising from your use of or access to any third-party website, service, or content.
14. TERM AND TERMINATION
14.1 Term
These Terms will remain in full force and effect while you use the Service or maintain an account with us.
14.2 Termination by You
You may terminate your account at any time by contacting us or by using the account termination feature in your account settings.
14.3 Termination by Us
We may terminate or suspend your account or access to the Service at any time, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms
- Failure to pay any fees when due
- Unexpected technical issues or problems
- Extended periods of inactivity
14.4 Effect of Termination
Upon termination of your account:
- Your right to access and use the Service will immediately cease
- You must return any leased equipment as specified in Section 6.3
- We may, but are not obligated to, delete your account information and User Content
- All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability
15. GOVERNING LAW AND DISPUTE RESOLUTION
15.1 Governing Law
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without giving effect to any choice or conflict of law provision or rule.
15.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in Boston, Massachusetts, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.
15.3 Class Action Waiver
ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS OR REPRESENTATIVE ACTION OR AS A MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
15.4 Small Claims Court
Notwithstanding the foregoing, you may bring an individual action in the small claims courts of your state of residence if the claim is within such court’s jurisdiction and is pending only in that court.
16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and us regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
16.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent possible under the law.
16.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without our consent shall be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.

We may provide notices to you via email, regular mail, or postings on the Service. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.
16.6 Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government action, labor disputes, or Internet service disruptions.
